About this Manual
This Manual is the operating manual of the Sommerset HOA Board. It establishes who decides what, what authority each delegate has, how money is committed and paid, how vendors are engaged, how rules are enforced, and how the Association protects itself from liability. It is not a restatement of the Civil Code, the Corporations Code, the CC&Rs, or the Bylaws; those documents establish what the Association is and what it may do. This Manual establishes how the Association exercises those powers in day-to-day practice.
Every provision is to be read and applied with the same governing intent: act in the best interests of the Association and its members, decisively, efficiently, and within the law.

Decision Authority and the Power to DelegateThe legal foundation. What Davis-Stirling and the Corporations Code require, what they permit, and the six categories of action the Board uses to conduct Association business — five of which do not require a noticed Board meeting.

Subject-Matter Subcommittees: Structure, Charters, and RosterOrganizational authority for Sommerset's Subcommittees, what each Subcommittee does, who currently serves, and the maintenance mechanism that lets the Roster be updated as directors come and go without rewriting the Manual.

The Procurement CycleEnd-to-end process: need identification → scope specification → vendor recruitment and bidding → award and execution → performance oversight → acceptance → invoice approval and (separately) payment authorization.

Enforcement of Rules and RegulationsOperationalizes the existing Sommerset Enforcement Policy ($100/$250/$500 fining schedule) with delegated authority so the Management Company can issue warning letters, violation letters, hearing notices, and certain towing notices without returning to the Board for each.

This Board Procedures Manual, including its structure, organization, drafting, language, and accompanying materials, is the proprietary work product of the Sommerset Homeowners Association, a California nonprofit mutual benefit corporation. It is intended solely for the internal use of the Association's Board of Directors, its committees and Subject-Matter Directors, the Association's contracted Management Company (acting on the Association's behalf and only with respect to the Association), the Association's members, and the Association's professional advisors.
Reproduction, redistribution, adaptation, derivative use, public posting, or commercial use of this Manual or any portion of it — in any form, in whole or in part, including for the purpose of providing similar materials to any other homeowners association, common interest development, or third-party client — is prohibited without the express prior written consent of the Sommerset HOA Board of Directors.
